Tippo Terms of Service
Summary (Plain English)
Tippo is a software tool that helps restaurants track and calculate tip distributions and generate payroll-ready reports.
Tippo:
• does NOT hold or transfer tip money • does NOT process payroll • does NOT provide legal, tax, payroll, or accounting advice
Restaurants remain fully responsible for:
• tip policies • payroll accuracy • employment law compliance • tax compliance • employee compensation
If there is a dispute about tips, employees must resolve it with their employer — not Tippo.
1. Agreement to Terms
These Terms govern the use of Tippo, a software platform operated by:

By using Tippo you agree to these Terms.
2. The Service
Tippo provides a software platform that allows restaurants to:
• record shift data • calculate tip allocations • generate payroll-ready exports • review tip distribution reports • maintain audit logs of edits
Tippo does not:
• distribute tip funds • hold restaurant or employee money • remit payroll taxes • guarantee compliance with labour laws
Tippo calculations depend entirely on user-provided data.
3. Customers and Authorized Users
The restaurant organization is the contracting customer.
Restaurant owners or managers create and control accounts.
Restaurant staff may access the system as Authorized Users.
Authorized Users:
• use the platform under the restaurant's account • do not have a direct commercial relationship with Tippo
Restaurants are responsible for:
• inviting users • obtaining employee consent • managing account permissions
4. Restaurant Responsibilities
Restaurants are solely responsible for:
• tip policies • payroll accuracy • compliance with provincial employment law • compliance with tax law • ensuring employee data is lawfully collected
Restaurants must verify all outputs before using them for payroll.
Tippo outputs are informational tools only.
5. Employee Disputes
Any disputes relating to:
• tip calculations • compensation • shift records • payroll
must be resolved between employees and their employer.
Tippo is not responsible for employment disputes.
6. Subscriptions and Billing
Subscriptions are billed through Stripe.
Plans may be billed:
• monthly • annually
A 14-day free trial may be offered.
Billing terms:
• subscriptions renew automatically • cancellation takes effect at the end of the billing cycle • fees are non-refundable
Tippo may suspend accounts for non-payment.
7. Data Ownership
Restaurant customers retain ownership of all business data uploaded to Tippo.
By using the service, restaurants grant Tippo a license to:
• host • process • store • analyze
data solely for the purpose of operating the platform.
Tippo may use aggregated and anonymized data to improve the product.
8. Security
Tippo implements safeguards including:
• encryption in transit and at rest • role-based access control • audit logs • multi-factor authentication • regular backups
No system is perfectly secure.
Users are responsible for protecting their account credentials.
9. Acceptable Use
Users must comply with the Tippo Acceptable Use Policy.
Tippo may suspend or terminate accounts that:
• misuse the service • violate law • upload unauthorized employee data • attempt to manipulate tip calculations fraudulently
10. Public Listings
Restaurants may choose to appear on:
tippo.ca/map
Participation is optional.
Tippo may display:
• restaurant name • location • participation status
with permission.
11. Intellectual Property
All platform software, design, and branding are owned by 4793117 NS Limited.
Users may not:
• reverse engineer the platform • copy or resell the software • scrape platform data • create derivative services
12. Liability Disclaimer
Tippo provides the platform "as is".
Tippo makes no guarantees regarding:
• accuracy of tip calculations • compliance with employment laws • payroll outcomes
All outputs depend on user-provided data.
13. Limitation of Liability
To the maximum extent permitted by law:
Tippo's total liability shall not exceed the greater of:
• $100 CAD • the total fees paid in the previous 12 months
Tippo is not liable for:
• lost profits • payroll errors • employment disputes • indirect damages • data inaccuracies supplied by users
14. Indemnification
Restaurants agree to defend and indemnify Tippo from claims arising from:
• employment disputes • payroll disputes • tip allocation disputes • misuse of the platform • inaccurate data provided by the restaurant
15. Suspension and Termination
Tippo may suspend or terminate accounts for:
• non-payment • legal violations • security threats • misuse of the platform
Restaurants may cancel subscriptions at any time.
16. Data Retention
Tippo retains data as long as necessary to:
• operate the service • comply with legal obligations • maintain system integrity
Historical records may be retained for a minimum of two years.
Deleted records are soft-deleted and may remain in backups.
17. Privacy
Personal information is handled according to the Tippo Privacy Policy.

18. Dispute Resolution
Before initiating legal proceedings, users must contact Tippo to attempt resolution.
Disputes will be resolved through binding arbitration.
If arbitration fails, disputes may proceed in the courts of Nova Scotia, Canada.
19. Class Action Waiver
Users agree to resolve disputes individually.
Class actions or collective lawsuits are not permitted.
20. Governing Law
These Terms are governed by the laws of Nova Scotia, Canada.
21. Changes to the Terms
Tippo may update these Terms.
Continued use of the service constitutes acceptance of updates.
